1. Definitions
"Company" refers to Endeavour Education & Migration Consultants.
"CRM" refers to the Customer Relationship Management system, including all software, databases, workflows, records, templates, automations, and integrations.
"User" refers to any employee, contractor, agent, partner, or authorised third party granted access to the CRM.
"Confidential Information" includes all client data, business data, migration strategies, education pathways, internal processes, credentials, communications, and records stored in or derived from the CRM.
2. Non-Disclosure & Confidentiality
2.1 The User acknowledges that all information accessed through the CRM is strictly confidential.
2.2 The User shall not disclose, share, copy, transmit, publish, sell, or misuse any Confidential Information, whether directly or indirectly, without prior written consent from the Company.
2.3 Confidential Information may only be used solely for authorised business purposes of Endeavour Education & Migration Consultants.
2.4 The confidentiality obligation applies during and after the User's engagement with the Company and survives termination of access or employment.
2.5 The User must take all reasonable steps to protect Confidential Information from unauthorised access, including safeguarding login credentials.
2.6 Any unauthorised disclosure or suspected data breach must be reported immediately to the Company.
3. Intellectual Property Rights
3.1 All rights, title, and interest in and to the CRM, including but not limited to: client records, case notes, migration strategies, templates, workflows, automations, reports, branding, and documentation are the exclusive intellectual property of Endeavour Education & Migration Consultants.
3.2 The User acquires no ownership rights in any data, content, or materials within the CRM.
3.3 The User shall not: copy or extract CRM data for personal use; reverse engineer or replicate CRM processes; use CRM materials for competing or external businesses; claim authorship or ownership of CRM content.
3.4 All client data entered into the CRM in the course of work remains the sole property of the Company, regardless of who created or uploaded the data.
4. Reserved Rights
4.1 Endeavour Education & Migration Consultants reserves all rights not expressly granted to the User.
4.2 The Company may: monitor CRM usage; audit activity logs; modify, restrict, or revoke access at any time; update CRM policies, features, or permissions without prior notice.
4.3 The Company reserves the right to take disciplinary, contractual, or legal action for any breach of these Terms, including claims for damages and injunctive relief.
4.4 Termination of access does not waive any rights relating to confidentiality, intellectual property, or data protection.
5. Data Protection & Compliance
5.1 Users must comply with all applicable privacy, data protection, and migration regulations, including client confidentiality obligations.
5.2 Data must not be exported, transferred, or stored outside approved systems without written authorisation.
6. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of Victoria, Australia, and courts of that jurisdiction shall have exclusive authority.
7. Acceptance
By accessing or using the CRM, the User confirms that they have read, understood, and agreed to be bound by these Terms & Conditions.
